PUBLIC OFFER AGREEMENT FOR THE SALE OF GOODS

Refractory Trading House LLC, hereinafter referred to as the “Seller,” publishes this document, which constitutes a public offer (hereinafter referred to as the “Offer”) and outlines the terms and conditions of a sales agreement for goods available on the website https://refractorist.com/ (hereinafter referred to as the “Website”). The agreement is considered concluded from the moment the Buyer accepts the Offer.

1. General Provisions

1.1. This Offer is developed in accordance with U.S. legislation, including regulations governing e-commerce and consumer rights.

1.2. This Offer applies to all goods listed on the Website until it is revoked or amended.

1.3. The Seller reserves the right to unilaterally modify the terms of this Offer. Any new version of the Offer takes effect from the moment it is published on the Website.

2. Definitions

2.6. Acceptance — the Buyer’s full and unconditional acceptance of the terms of this Offer by placing an order and/or paying for the goods.

3. Subject of the Offer

3.1. The Seller undertakes to transfer the Goods specified in the Order to the Buyer, and the Buyer undertakes to pay for and accept them under the terms of this Offer.

3.2. The Seller reserves the right to refuse to fulfill the Order in cases where:

     •           The Buyer provides false or incomplete information;

     •           The requested goods are unavailable in stock.

3.3. The Seller may, with the Buyer’s consent, replace the unavailable goods with similar ones.

4. Prices and Payment Terms

4.1. All prices for Goods are listed in U.S. dollars and include applicable taxes unless otherwise specified.

4.2. The Seller reserves the right to change the prices of Goods unilaterally, except for orders that have already been placed.

4.3. The Buyer agrees to pay for the Goods using one of the payment methods provided:

     •           Credit card (Visa, MasterCard, American Express);

     •           PayPal;

     •           Bank transfer;

     •           Other payment options specified on the Website.

4.4. Payment is considered complete once the funds are credited to the Seller’s account.

5. Order Placement

5.1. The Buyer places an order independently using the Website’s functionality.

5.2. The Buyer must provide accurate and up-to-date information, including their name, delivery address, contact phone number, and email.

5.3. After the order is placed, the Seller confirms it via email or phone.

5.4. The Seller is not responsible for delays or issues caused by errors in the information provided by the Buyer.

6. Delivery

6.1. The Seller provides delivery services within the U.S. through logistics partners (UPS, FedEx, USPS, etc.).

6.2. The Buyer bears the delivery costs unless otherwise specified in the product description or during order placement.

6.3. The Seller is not liable for delivery delays caused by third parties, including logistics companies.

6.4. Upon receiving the Goods, the Buyer must inspect the packaging and the condition of the Goods. Claims for damages will only be accepted if photographic or video evidence is provided at the time of delivery.

7. Returns and Exchanges

7.1. The Buyer may return Goods within 14 days of receipt, provided that:

     •           The Goods have not been used;

     •           The original packaging and presentation are intact;

     •           Proof of purchase (e.g., order confirmation or receipt) is provided.

7.2. Refunds will be processed within 10 business days after the Seller receives and inspects the returned Goods.

7.3. Claims for defective Goods will be handled in accordance with U.S. law. The Seller reserves the right to request an expert examination to verify defects.

7.4. Custom-made Goods or Goods marked as “Final Sale” are non-returnable and non-exchangeable.

8. Warranties

8.1. The Seller guarantees that the Goods comply with the descriptions provided on the Website.

8.2. Warranty terms are outlined in the accompanying product documentation.

8.3. The Seller is not responsible for:

     •           Improper use of the Goods by the Buyer;

     •           Damages resulting from non-compliance with instructions.

9. Data Protection

9.1. The Buyer agrees to the processing of their personal data in accordance with the Seller’s Privacy Policy.

9.2. Personal data will only be used for the Seller’s obligations, including delivery, returns processing, and Buyer notifications.

9.3. The Seller guarantees the confidentiality and protection of the Buyer’s data under U.S. laws, including the California Consumer Privacy Act (CCPA).

10. Force Majeure

10.1. The Seller is not liable for full or partial non-fulfillment of obligations under this Offer due to force majeure circumstances, including:

     •           Natural disasters (fires, floods, etc.);

     •           Acts of war;

     •           Actions of government authorities;

     •           Disruptions in internet service or other communication systems.

11. Dispute Resolution

11.1. Any disputes or disagreements arising from the execution of this Offer shall be resolved through negotiations.

11.2. If a resolution cannot be reached, disputes will be submitted to the courts of North Carolina, USA.

12. Final Provisions

12.1. This Offer is governed by U.S. law.

12.2. Any additional agreements between the Seller and the Buyer must be in writing.
